These Ad Network Terms & Conditions ("Ad Network T&Cs") are entered into by and between ByteBrew, Inc. ("ByteBrew") and the person or entity clicking "I accept" ("You" or "Customer") and is subject to the general ByteBrew Terms of Service available at https://docs.bytebrew.io/BBSettings/termsservice as well as the Privacy Policy located at https://docs.bytebrew.io/BBSettings/privacypolicy (collectively, the "Customer Terms"). These Ad Network T&Cs permit Customer to participate in ByteBrew's ad network (the "Ad Network"), either as a publisher of ads (a "Publisher") or an advertiser (an "Advertiser"). These Ad Network T&Cs set forth additional terms and conditions that are hereby incorporated into, become a part of, and are pursuant to, the Customer Terms with respect to Customer's participation in the Ad Network. By clicking "I accept," you represent that you have the authority to bind Customer to these Ad Network T&Cs. To the extent there is a conflict between these Ad Network T&Cs and the Customer Terms, these Ad Network T&Cs shall control solely with respect to the Ad Network.
BY CHECKING THE BOX LABELED "I ACCEPT" OR BY ACCESSING OR BY PARTICIPATING IN THE AD NETWORK IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE AD NETWORK T&CS, THE CUSTOMER TERMS, AND BY ANY OTHER TERMS, CONDITIONS, OR POLICIES THAT ARE INCORPORATED HEREIN BY REFERENCE.
Introduction
The Ad Network enables Advertisers to place advertisements on mobile app and application properties for a fee and, conversely, enables Publishers to publish such advertisements. These Ad Network T&Cs apply to your participation in the Ad Network, whether as an Advertiser and/or a Publisher.
Publisher Terms
General Publisher Terms
- You let ByteBrew sell and show ads in your apps, and market your ad space to potential Advertisers. ByteBrew will enable you to adjust your ad settings using its dashboard and collect data to give you reports and analytics. ByteBrew may also share data with mobile measurement partners and other third party partners.
- You agree that ByteBrew has sole authority to: (a) identify, select and manage relationships with Advertisers; and (b) determine the prices, price floors (standard and/or dynamic), or price reserves, as well as terms under which inventory is sold. You agree that ByteBrew is not responsible for the advertisements (including for the accuracy or legality thereof) or any associated website, application, content, information, product or service.
Compliance and Content Restrictions
- Publishers must comply with all applicable laws, regulations, and industry standards, including those regarding privacy, consumer protection, advertising, and intellectual property.
- Publishers may not publish ads on properties that feature prohibited content, including but not limited to: illegal activities, adult content, graphic violence, hate speech, harassment, drugs, weapons, third-party rights infringement, deceptive claims, scams, malware, and significant unmoderated user-generated content. ByteBrew reserves the right to determine, in its sole discretion, whether you have violated such content prohibitions.
- Publishing ads on properties that feature restricted content (including alcohol, gambling, political, tobacco, pharmaceuticals, financial, health, wellness, and cause-based advertising) is allowed only with adherence to local laws and explicit consent by ByteBrew. Publishers should notify ByteBrew if their property contains any of these restricted content categories, and ByteBrew reserves the right to determine, in its sole discretion, whether any such property may be used to publish advertisements.
Technical Requirements
- Correct integration of ByteBrew SDKs and technical documentation is required for all publishers and their mobile applications.
- Properties must be owned or directly authorized by Publishers.
- Properties must meet minimum standards for substantive, original content and user engagement; low-quality or ad-heavy properties may be rejected.
- Publishers must not artificially inflate metrics, source fraudulent traffic, or induce invalid activity.
Advertiser Terms
General Advertiser Terms and Creative Requirements
- Advertisers grant the Ad Network rights to use and distribute submitted ad content and associated data for service delivery and improvement.
- All creatives must feature clear branding and unambiguous calls to action (e.g., "Download Now", "Play Now").
- Ads should be free from misinformation, misleading claims, and deceptive designs.
- Ads must conform to technical specifications for each template, including format, file type, dimensions, and size requirements communicated by ByteBrew from time to time.
- ByteBrew may block or remove ads that do not comply or may ban accounts in cases of serious or repeated violations.
Compliance and Content Restrictions
- Advertisers must comply with all relevant policies, including payment and billing terms.
- Advertisers are responsible for payment via designated methods, subject to daily spend limits or monthly invoicing, as applicable.
- Ad content must not violate acceptable content guidelines, including but not limited to prohibitions against: illegal activities, adult content, graphic violence, hate speech, harassment, drugs, weapons, third-party rights infringement, deceptive claims, scams, malware, and significant unmoderated user-generated content. ByteBrew reserves the right to determine, in its sole discretion, whether you have violated such content prohibitions.
- Ads featuring restricted content (including alcohol, gambling, political, tobacco, financial, health, wellness, and cause-based advertising) is allowed only with adherence to local laws and explicit notice to ByteBrew. Advertisers should notify ByteBrew if their advertisement contains any of these restricted content categories, and ByteBrew reserves the right to determine, in its sole discretion, whether any such advertisement may be placed through the Ad Network.
General Terms
Data Privacy
- Publishers or Advertisers, may not send, share, or otherwise make available to ByteBrew any data relating to children, either directly or through a third party. You are prohibited from the user or initialization of any ByteBrew SDK or feature of the Services in relation to an end user who meets the definition of a "child" under applicable privacy or data protection laws. Be aware, jurisdictions define "child" differently, and these definitions may evolve over time. It is your sole responsibility to determine the appropriate age threshold for your users and to ensure that your integration with ByteBrew complies with all applicable laws regarding children's data.
- Publishers and Advertisers are strictly prohibited from transmitting, sharing, or otherwise making available to ByteBrew any data that qualifies as sensitive personal information or Protected Health Information under applicable laws. This includes, but is not limited to, information relating to an individual's racial or ethnic origin, political opinions, religious or philosophical beliefs, trade-union membership, health or medical data, sex life or sexual orientation, genetic or biometric identifiers, criminal history, government-issued identification numbers, financial or account information, login credentials, contents of user communications, precise geolocation data, or any other information classified as sensitive, special category, or protected health information under applicable privacy or health data laws. You may not use any ByteBrew SDK, API, or feature to collect, transmit, track, infer, imply or identify such data.
- Both Publishers and Advertisers using ByteBrew Services must maintain and make accessible a valid, up-to-date privacy policy that clearly discloses the collection, use, and sharing of user data, including any data collected by third parties through your properties, advertisements, or integrations with ByteBrew.
You are solely responsible for maintaining such privacy policy and ensuring that it complies with all applicable laws, rules, and regulations, including but not limited to those governing consent, transparency, and the use of cookies, pixels, SDKs, or other tracking technologies.
In addition, the following requirements apply:
- Advertisers must display their privacy policy on all applicable landing pages and must implement a cookie banner or comparable consent mechanism that allows users to control or restrict certain tracking technologies.
- Publishers must make their privacy policy available on each property or ad placement where ByteBrew ads are served and must inform users of the existence and purpose of any cookies, pixels, SDKs, or similar technologies used for tracking or analytics.
- All personal data processed through advertisements served via ByteBrew must comply with applicable data protection and privacy laws. Publishers and Advertisers are solely responsible for obtaining and maintaining valid user consent where required, including for data collection, interest-based advertising, ad measurement, and other related processing activities. ByteBrew relies on each party's lawful collection and documentation of user consent.
- Failure to comply with any of these required terms may result in suspension or termination.
Fees and Payment
- You pay ByteBrew for advertisements placed through the Ad Network. ByteBrew will provide access to an online platform that enables you to manage your campaigns, update payment and billing details, and perform other account-related functions.
- Advertisers agree to pay all applicable fees and taxes, as well as any processing costs associated with payments. There are two payment frameworks that may apply to advertisers in the Ad Network:
- Automatic Payments: Once Advertisers reach a predetermined spend threshold, they will be automatically billed for that amount to the saved payment methods that the Advertiser has configured via the Stripe dashboard. The threshold is set by ByteBrew by default, however, Advertisers can request to have the threshold raised from time to time. Automatic Payments is the default payment framework. All payments must be made in U.S. Dollars (USD), regardless of your location or primary place of business.
- Invoiced Payments: Certain Advertisers may be eligible to have their monthly expenditure invoiced monthly and paid in arrears. This payment framework is only available to certain Advertisers, as determined by ByteBrew in its sole discretion. All payments must be made in U.S. Dollars (USD), regardless of your location or primary place of business.
- Payment methods can change, and ByteBrew uses third-party payment companies to process payments. Currently, ByteBrew uses Stripe, Inc. as its payment processor. You can access Stripe's Terms of Service at https://stripe.com/us/checkout/legal and their Privacy Policy at https://stripe.com/us/privacy. ByteBrew isn't responsible for issues with those companies. If you provide us with a credit or debit card, you authorize us to automatically charge that card whenever you make purchases through the Ad Network.
- In the event your payment method fails or your account(s) become past due, ByteBrew reserves the right to recover any outstanding balances through any lawful means. This may include, but is not limited to:
- Suspending or terminating your ByteBrew account(s) or access to services,
- Referring the unpaid balance to a collections agency, or
- Taking any other actions permitted by law to recover the balance due.
- Offsetting or netting overdue amounts against payments owed to you under this or any other agreement with ByteBrew,
You are responsible for all costs incurred by ByteBrew in connection with collecting overdue payments, including reasonable attorneys' fees, court costs, and collection agency fees. Interest will accrue on any past due amounts at the rate of 2% per month or the maximum rate permitted by law, whichever is lower.
Best Practices and Guidelines
- Both advertisers and publishers must avoid ads or content involving illegal products, excessive violence, adult content, or third-party infringement.
- Ad creatives must be natively designed for target platforms, not simply scaled to fit specifications.
- Best practices require visible branding, clear calls to action, and regulatory compliance for data handling, user experience, and consent gathering.
Fraud Prevention
- All parties using the Ad Network agree to maintain transparent and honest advertising practices. Any attempt to generate or disguise fraudulent traffic, impressions, or engagement will result in immediate account termination and forfeiture of payments.
- Prohibited actions include, but are not limited to, bot or data center traffic, impression laundering, pixel stuffing, ad stacking, click farms, automated click bots, click hijacking, click spamming, click injection, device or install farms, incentivized installs disguised as organic, domain or app spoofing, outstream video or SSAI fraud, adware/malware, auto-refresh abuse, session hijacking, SDK spoofing or tampering.
- ByteBrew actively monitors using third-party fraud detection and verification systems and may suspend or permanently ban any account found engaging in these practices. All payments to publishers related to invalid activity will be withheld or reclaimed.
Enforcement
- Violations of these terms may result in ad blocking, account suspension or termination, withholding or adjustment of payments, and further legal remedies as deemed necessary by ByteBrew.
